Terms and Conditions

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and InsiderRN LLC (“InsiderRN,” “Company,” “we,” “our,” or “us”).
Please read these Terms carefully before accessing, purchasing, subscribing to, registering for, or using InsiderRN Services.
SECTION 1. ACCEPTANCE OF TERMS
These Terms govern your access to and use of the InsiderRN website, membership platform, educational content, videos, downloadable resources, communications, products, services, and related materials (collectively, the “Services”).
By creating an account, purchasing or subscribing to Services, or otherwise affirmatively accepting these Terms through the InsiderRN website or platform, you acknowledge that you have had the opportunity to review these Terms and agree to be legally bound by them.
Where presented with an electronic checkbox or other affirmative acceptance mechanism, you must affirmatively indicate your acceptance before completing the applicable registration, subscription, or purchase.
Your acceptance may be electronically recorded, including the date and time of acceptance, the version of the Terms accepted, and information reasonably necessary to document the transaction and acceptance.
These Terms include a binding arbitration agreement governing the resolution of disputes. Please review Section 30 carefully.
If you do not agree to these Terms, you must not purchase, register for, access, or use the Services.
The InsiderRN Privacy Policy, Refund Policy, Intellectual Property Policy, and other policies expressly incorporated into these Terms form part of your agreement with InsiderRN.
SECTION 2. ELIGIBILITY
To create an account, purchase Services, or use membership Services, you must:
- Be at least eighteen (18) years of age;
- Have the legal authority to enter into a binding agreement;
- Provide accurate and complete information;
- Maintain accurate account information; and
- Comply with these Terms.
InsiderRN reserves the right to refuse, restrict, suspend, or terminate access where eligibility requirements are not satisfied.
SECTION 3. EDUCATIONAL PURPOSE ONLY
InsiderRN is an educational and professional-development platform designed to support nursing students, graduate nurses, early-career nurses, and other healthcare professionals in their professional development.
InsiderRN is not:
- A nursing school;
- A healthcare provider;
- A certification authority;
- A licensing board;
- A law firm or legal advisor;
- A financial advisor; or
- An employment or staffing agency unless expressly stated through a separate service and written agreement.
All InsiderRN content is provided solely for educational, informational, and professional-development purposes.
InsiderRN content does not constitute medical or nursing advice and does not establish or define the applicable standard of care.
The Services are not a substitute for professional clinical judgment, employer policies, provider orders, current clinical references, evidence-based standards, professional standards, licensing requirements, or applicable laws and regulations.
SECTION 4. NO GUARANTEE OF EMPLOYMENT OR PROFESSIONAL OUTCOMES
InsiderRN does not guarantee:
- Employment;
- Interviews;
- Job offers;
- Residency placement;
- Promotions;
- Salary increases;
- NCLEX success;
- Licensure;
- Certification;
- Clinical competency;
- Successful completion of orientation;
- Professional advancement; or
- Any specific career or educational outcome.
Resume guidance, cover-letter guidance, interview preparation, career-development information, employer-evaluation resources, and related Services are educational resources only.
Individual results depend upon numerous circumstances outside InsiderRN’s control.
Unless expressly stated in a separate written agreement, InsiderRN does not act as an employer, recruiter, staffing agency, placement agency, hospital representative, or representative of any healthcare organization in providing the Services governed by these Terms.
SECTION 5. CLINICAL RESPONSIBILITY AND DISCLAIMER
Users remain solely responsible for their professional and clinical decisions and actions.
This includes responsibility for:
- Patient-care decisions;
- Clinical judgment;
- Medication administration;
- Documentation;
- Communication;
- Professional conduct;
- Compliance with employer policies;
- Compliance with organizational procedures;
- Compliance with licensing requirements;
- Compliance with scope-of-practice requirements; and
- Compliance with applicable laws and regulations.
Healthcare information, standards, regulations, technologies, and clinical practices change over time.
InsiderRN does not guarantee that all educational information will remain complete, current, accurate, or appropriate for every healthcare organization, jurisdiction, or clinical situation.
Users must independently verify information when appropriate and follow applicable employer policies, provider orders, professional standards, State Board of Nursing requirements, evidence-based clinical resources, and applicable law.
SECTION 6. PATIENT INFORMATION, CONFIDENTIALITY, AND PHI
Users must not submit, upload, post, transmit, email, disclose, or otherwise provide InsiderRN with protected health information (“PHI”) or personally identifiable patient information through the Services unless expressly authorized by InsiderRN for a legally compliant purpose.
Users discussing clinical experiences must appropriately de-identify patient information.
Users are responsible for complying with:
- Applicable patient-privacy laws;
- Employer confidentiality policies;
- Professional confidentiality obligations;
- HIPAA requirements applicable to the User; and
- Other applicable privacy and security requirements.
Users must also refrain from submitting confidential, proprietary, or restricted information belonging to an employer, healthcare organization, educational institution, or other third party without appropriate authorization.
InsiderRN educational Services are not intended to function as a repository for patient medical information.
SECTION 7. MEMBERSHIP ACCESS AND LIMITED LICENSE
An active InsiderRN membership grants the User a limited, personal, revocable, non-exclusive, non-sublicensable, and non-transferable license to access authorized InsiderRN content during the applicable access or membership period.
Membership benefits may include:
- Educational videos;
- Downloadable resources;
- Interview-preparation materials;
- Resume and cover-letter guidance;
- Career-development resources;
- Templates;
- Worksheets;
- Educational tools;
- Guides;
- Member resources; and
- Other exclusive content.
Purchasing or accessing InsiderRN Services does not transfer ownership of InsiderRN intellectual property.
InsiderRN may update, improve, replace, reorganize, expand, or discontinue individual pieces of content or platform features.
SECTION 8. ACCOUNT SECURITY AND INDIVIDUAL USE
InsiderRN accounts and memberships are intended solely for the individual registered User unless a separate written enterprise, institutional, or group agreement expressly provides otherwise.
Users agree to:
- Maintain accurate account information;
- Protect account credentials;
- Keep passwords confidential;
- Refrain from sharing accounts or credentials;
- Refrain from allowing unauthorized individuals to access membership content;
- Notify InsiderRN of suspected unauthorized access; and
- Log out when using shared devices.
Users may not share membership access with classmates, coworkers, friends, family members, educational institutions, employers, organizations, or any other person or entity.
InsiderRN may investigate suspected account sharing, unusual simultaneous access, unusually high content-access activity, unauthorized downloads, attempted security circumvention, or other activity reasonably indicating misuse.
InsiderRN may use reasonable security measures to protect its Services and intellectual property, subject to its Privacy Policy and applicable law.
SECTION 9. SUBSCRIPTION BILLING AND AUTOMATIC RENEWAL
If a membership is offered as a recurring subscription, the subscription will automatically renew at the end of each applicable billing period unless canceled before the next renewal in accordance with the cancellation instructions presented to the User.
Before purchasing a recurring subscription, Users will be provided applicable subscription information, which may include:
- Subscription price;
- Billing frequency;
- Automatic-renewal terms;
- Applicable trial or promotional terms;
- Cancellation information; and
- Other legally required disclosures.
By affirmatively purchasing a recurring subscription, you authorize InsiderRN and its designated payment processor to charge your selected payment method for applicable recurring subscription charges until canceled.
Users are responsible for maintaining a valid payment method and managing their subscriptions.
Cancellation prevents future renewal as provided in the applicable subscription terms but does not automatically create an entitlement to a refund for amounts already charged.
Exceptions apply where required by applicable law.
SECTION 10. CANCELLATION
Users may cancel recurring subscriptions through the cancellation method made available by InsiderRN.
Cancellation becomes effective for future billing periods in accordance with the subscription terms presented at purchase.
Unless otherwise required by law, cancellation does not:
- Retroactively cancel a previous purchase;
- Create a refund for a completed billing period; or
- Create an entitlement to a prorated refund.
Access following cancellation may continue through the remainder of the period already paid for unless access is terminated because of a violation of these Terms or otherwise specified at purchase.
SECTION 11. PAYMENT TERMS AND THIRD-PARTY PAYMENT PROCESSING
All applicable fees are due as disclosed at the time of purchase.
By purchasing Services, you authorize InsiderRN and its designated third-party payment processors to charge your selected payment method for applicable:
- Purchase prices;
- Subscription fees;
- Renewal charges;
- Taxes; and
- Other charges disclosed and authorized at purchase.
Payment transactions may be processed through independent third-party payment processors.
Such providers may maintain their own terms, privacy practices, and security requirements.
InsiderRN does not guarantee the availability or performance of third-party payment services.
Users are responsible for providing accurate payment information and maintaining a valid payment method for recurring subscriptions.
SECTION 12. PRICING, PROMOTIONS, AND DISCOUNTS
InsiderRN may offer discounts, promotional pricing, coupon codes, limited-time offers, or other promotions.
Promotions may be subject to:
- Eligibility requirements;
- Expiration dates;
- Usage limits;
- Product restrictions;
- Membership restrictions;
- Non-transferability; and
- Restrictions on combining multiple offers.
InsiderRN reserves the right to discontinue or modify promotions subject to applicable law.
InsiderRN may correct genuine typographical, technical, or pricing errors and will address affected transactions in accordance with applicable law.
SECTION 13. REFUND POLICY
ALL SALES ARE FINAL EXCEPT WHERE OTHERWISE REQUIRED BY APPLICABLE LAW OR EXPRESSLY PROVIDED BY INSIDERRN.
Because InsiderRN provides immediate access to digital educational content and resources, InsiderRN generally does not provide refunds, exchanges, credits, or partial refunds for completed purchases.
This includes:
- Membership fees;
- Subscription fees;
- Digital products;
- Educational materials;
- Downloadable resources;
- Templates;
- Training programs; and
- Other digital Services.
By purchasing Services, you acknowledge that digital content may become immediately accessible and that failure to access, use, or complete the Services does not independently create refund eligibility.
The InsiderRN Refund Policy is incorporated into these Terms.
Where applicable law requires a refund or other remedy, InsiderRN will comply with those requirements.
SECTION 14. INTELLECTUAL PROPERTY RIGHTS
All InsiderRN content and materials are owned by or licensed to InsiderRN LLC and are protected by applicable copyright, trademark, trade-secret, contract, and other intellectual-property laws.
Protected materials include, without limitation:
- Videos;
- Audio recordings;
- Educational frameworks;
- Proprietary methodologies;
- Presentations;
- Workbooks;
- Worksheets;
- Checklists;
- Downloadable resources;
- Templates;
- Written materials;
- Interview materials;
- Resume materials;
- Career-development tools;
- Graphics;
- Logos;
- Branding;
- Website content;
- Training methodologies;
- Course structures;
- Membership materials; and
- Original educational concepts and organization.
No ownership rights are transferred to Users.
Except for the limited license expressly provided by these Terms, all rights are reserved by InsiderRN LLC.
SECTION 15. PROHIBITED USE OF INSIDERRN CONTENT
Except where expressly authorized in writing by InsiderRN, Users may not:
- Copy;
- Reproduce;
- Republish;
- Record;
- Redistribute;
- Sell;
- Resell;
- License;
- Sublicense;
- Publicly display;
- Publicly perform;
- Share;
- Transmit;
- Systematically screenshot;
- Download unauthorized materials;
- Upload materials to social media;
- Upload materials to file-sharing services;
- Place materials on shared drives;
- Distribute materials through educational institutions or employers;
- Create derivative commercial products;
- Create substantially similar competing educational products;
- Remove copyright notices;
- Remove watermarks;
- Circumvent access restrictions; or
- Commercially exploit InsiderRN content.
Changing, summarizing, reorganizing, reformatting, paraphrasing, or otherwise modifying InsiderRN content does not eliminate InsiderRN’s applicable intellectual-property rights.
Unauthorized use may constitute a material breach of these Terms and may also violate applicable intellectual-property laws.
SECTION 16. DIGITAL WATERMARKING AND CONTENT PROTECTION
To protect proprietary content and platform security, InsiderRN may use technologies and practices such as:
- Visible watermarks;
- Digital or invisible watermarks;
- Digital fingerprinting;
- User-specific identifiers;
- Download identifiers;
- Device or browser information;
- Session monitoring;
- Access logging;
- Security monitoring;
- Login activity analysis; and
- Usage analytics.
Certain content may contain identifiers capable of associating copies or access activity with an account or transaction.
Users may not disable, remove, alter, obscure, defeat, or circumvent content-protection or security measures.
InsiderRN’s collection and use of personal information in connection with these technologies will be governed by its Privacy Policy and applicable law.
SECTION 17. ARTIFICIAL INTELLIGENCE, AUTOMATED EXTRACTION, AND SCRAPING
Except with InsiderRN’s prior written authorization, InsiderRN content may not be used for:
- Artificial-intelligence training;
- Machine-learning training;
- Large-language-model training;
- Model fine-tuning;
- Model evaluation;
- Dataset creation;
- Synthetic dataset creation;
- Retrieval-augmented generation (“RAG”) systems;
- Embedding or vector databases;
- Automated knowledge bases;
- Data harvesting;
- Web scraping;
- Screen scraping;
- Automated extraction;
- Content mining;
- Automated indexing intended to reproduce or substitute for the Services; or
- Development of competing or substitute educational products.
Users may not upload, transmit, or provide proprietary InsiderRN materials to third-party artificial-intelligence systems for unauthorized reproduction, redistribution, commercial exploitation, dataset creation, derivative-product development, or creation of products or resources intended to substitute for InsiderRN Services.
No InsiderRN content may be used to train, evaluate, fine-tune, improve, develop, or populate an artificial-intelligence or machine-learning system without prior written authorization from InsiderRN LLC.
SECTION 18. CHARGEBACKS AND PAYMENT DISPUTES
Users should contact InsiderRN regarding billing concerns when appropriate before initiating a payment dispute.
Fraudulent, knowingly false, or abusive chargebacks or payment reversals concerning valid and authorized purchases may constitute a breach of these Terms.
Where permitted by law, InsiderRN may respond to such activity by:
- Suspending account access;
- Terminating membership access;
- Providing relevant transaction and account records to payment processors or financial institutions;
- Pursuing amounts legitimately owed; and
- Recovering applicable costs where legally permitted.
Nothing in these Terms eliminates or restricts any non-waivable consumer right to dispute unauthorized, fraudulent, erroneous, or otherwise legally disputable charges.
SECTION 19. USER CONDUCT AND COMMUNITY STANDARDS
Users agree to engage appropriately and professionally with InsiderRN members, employees, contractors, instructors, guests, and other participants.
Users may not engage in:
- Harassment;
- Threats;
- Discrimination;
- Abusive conduct;
- Fraud;
- Impersonation;
- Illegal activity;
- Security interference;
- Unauthorized platform access;
- Malicious activity; or
- Materially disruptive behavior.
Serious or repeated violations may result in suspension or termination.
SECTION 20. USER-SUBMITTED CONTENT
Users retain applicable ownership rights in original content they submit to InsiderRN.
Users grant InsiderRN a non-exclusive license to access, reproduce, process, and use submitted content to the extent reasonably necessary to provide, administer, improve, secure, and support the Services requested by the User.
By submitting content, Users represent that they have the legal right to submit it and that it does not:
- Infringe third-party intellectual-property rights;
- Violate privacy rights;
- Contain unauthorized patient-identifying information or PHI;
- Disclose confidential employer information without authorization;
- Violate professional obligations; or
- Violate applicable law.
Submission of content for operational or educational assistance does not, by itself, authorize InsiderRN to publicly use the User’s name, likeness, testimonial, resume, personal story, or other identifiable information for advertising or promotional purposes.
SECTION 21. TESTIMONIALS AND MARKETING PERMISSION
Testimonials represent individual experiences and do not guarantee similar outcomes.
InsiderRN may request separate permission to use a User’s testimonial, name, image, likeness, voice, video, or personal story for advertising, marketing, promotional, or public-facing purposes.
Where separate authorization is required, InsiderRN will obtain such permission before the applicable use.
Testimonials do not guarantee employment, licensing, certification, professional advancement, or any other result.
SECTION 22. THIRD-PARTY SERVICES AND LINKS
InsiderRN may utilize or link to third-party services, including:
- Payment processors;
- Learning-management systems;
- Analytics providers;
- Video-hosting providers;
- Email providers;
- Job resources;
- External websites; and
- Other technology providers.
InsiderRN does not control and is not responsible for the independent terms, privacy practices, content, availability, security, actions, or performance of third parties.
Use of third-party services may be subject to separate terms.
SECTION 23. MODIFICATION OF SERVICES
InsiderRN may update, modify, replace, reorganize, add, or discontinue content, features, technologies, or components of the Services.
InsiderRN may make reasonable modifications necessary to improve educational content, platform performance, security, functionality, or business operations.
Nothing in this section is intended to eliminate rights that cannot legally be waived or materially deprive Users of purchased Services in violation of applicable law.
SECTION 24. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
InsiderRN disclaims warranties, express or implied, including warranties of:
- Merchantability;
- Fitness for a particular purpose;
- Non-infringement;
- Accuracy;
- Reliability;
- Availability; and
- Specific professional results.
InsiderRN does not guarantee uninterrupted, error-free, or continuously available access to the Services.
Nothing in these Terms excludes warranties or rights that cannot legally be excluded.
SECTION 25. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INSIDERRN LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, INSTRUCTORS, AND REPRESENTATIVES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THE SERVICES.
To the maximum extent permitted by applicable law, InsiderRN’s aggregate liability arising from or relating to the Services shall not exceed the greater of:
(A) the amount paid by the User to InsiderRN during the twelve (12) months immediately preceding the event giving rise to the claim; or
(B) two hundred dollars ($200).
Nothing in this provision limits liability that cannot legally be limited.
SECTION 26. INDEMNIFICATION
To the extent permitted by applicable law, Users agree to defend, indemnify, and hold harmless InsiderRN LLC and its owners, officers, employees, contractors, affiliates, instructors, and representatives from third-party claims, liabilities, damages, losses, costs, and reasonable expenses arising from:
- Material violation of these Terms;
- Unlawful misuse of the Services;
- Unauthorized distribution or exploitation of InsiderRN intellectual property;
- Violation of applicable law; or
- Violation of third-party rights.
SECTION 27. ACCOUNT SUSPENSION AND TERMINATION
InsiderRN may suspend, restrict, or terminate account or membership access where a User:
- Shares account credentials;
- Permits unauthorized account access;
- Violates intellectual-property rights;
- Distributes content without authorization;
- Attempts to circumvent platform security;
- Engages in prohibited scraping or AI use;
- Engages in fraudulent payment activity;
- Materially breaches these Terms; or
- Uses the Services unlawfully.
Termination for material breach does not independently create a right to a refund, except where required by applicable law.
Provisions that by their nature should survive termination, including applicable intellectual-property, payment, dispute-resolution, liability, and indemnification provisions, will survive termination.
SECTION 28. ELECTRONIC COMMUNICATIONS
By creating an account or purchasing Services, Users consent to receive electronic communications reasonably necessary to administer their relationship with InsiderRN.
These may include:
- Purchase confirmations;
- Account notices;
- Billing communications;
- Renewal information;
- Security alerts;
- Service-related communications; and
- Legal or policy notices.
Marketing communications will be handled in accordance with applicable law and applicable User preferences.
Users are responsible for maintaining an accurate email address associated with their account.
SECTION 29. GOVERNING LAW
These Terms shall be governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles, except where applicable federal law or non-waivable law requires otherwise.
The Federal Arbitration Act shall govern the interpretation and enforcement of the arbitration provisions contained in these Terms where applicable.
SECTION 30. DISPUTE RESOLUTION, MEDIATION, AND BINDING ARBITRATION
PLEASE READ THIS SECTION CAREFULLY. THESE TERMS INCLUDE A BINDING ARBITRATION AGREEMENT GOVERNING THE RESOLUTION OF DISPUTES.
Informal Resolution
Before initiating formal dispute-resolution proceedings, the parties agree to attempt in good faith to resolve the dispute informally.
The party asserting a dispute should provide reasonable written notice describing the nature of the dispute and requested resolution.
The parties will have thirty (30) days following receipt of notice to attempt informal resolution unless mutually extended.
Mediation
If informal resolution is unsuccessful, the parties agree to attempt confidential mediation before proceeding to arbitration, except where applicable law permits otherwise.
Mediation will occur in Allegheny County, Pennsylvania, or remotely if mutually agreed or otherwise appropriate under applicable law or governing mediation rules.
Binding Arbitration
If mediation does not resolve the dispute, disputes subject to this arbitration agreement will be resolved through final and binding arbitration to the extent permitted by applicable law.
Arbitration will be administered by the American Arbitration Association (“AAA”) pursuant to applicable AAA rules.
The Federal Arbitration Act will govern the arbitration agreement where applicable.
Subject to applicable law and applicable arbitration rules, arbitration will occur in Allegheny County, Pennsylvania, remotely, or at another location required or permitted under applicable consumer-arbitration rules.
The arbitrator will have authority to resolve disputes within the scope of the arbitration agreement, including disputes concerning:
- Memberships;
- Purchases;
- Subscription charges;
- Payments;
- Platform access;
- Intellectual-property rights;
- Account termination; and
- Services provided by InsiderRN.
Nothing in this Section prevents either party from seeking relief in a court where applicable law provides a non-waivable right to do so or where judicial involvement is legally necessary to enforce or support arbitration.
SECTION 31. SEVERABILITY
If any provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent legally permissible, and the remaining provisions will remain in effect unless applicable law requires otherwise.
SECTION 32. CHANGES TO THESE TERMS
InsiderRN may periodically update these Terms to reflect changes in:
- Services;
- Business operations;
- Technology;
- Security practices;
- Legal requirements; or
- Company policies.
The current version will identify its effective or last-updated date.
For material changes, InsiderRN may provide notice through the website, account, email, or another reasonable method.
Where appropriate or legally required, InsiderRN may require Users to affirmatively accept materially revised Terms before continuing to access applicable Services.
InsiderRN may maintain records identifying the version of the Terms accepted by individual Users.
Changes will not retroactively alter rights or obligations where prohibited by applicable law.
SECTION 33. FORCE MAJEURE
InsiderRN will not be responsible for delays or failures in performance caused by circumstances beyond its reasonable control, including natural disasters, government actions, widespread internet or infrastructure failures, telecommunications disruptions, cyber incidents affecting third-party infrastructure, labor disruptions, public emergencies, or other events beyond reasonable control.
This provision does not excuse obligations that cannot legally be excused.
SECTION 34. ASSIGNMENT
Users may not assign or transfer their membership, account, license, or rights under these Terms without InsiderRN’s prior written authorization.
Subject to applicable law, InsiderRN may assign these Terms in connection with a merger, acquisition, corporate restructuring, financing, sale of assets, transfer of business operations, or similar transaction.
SECTION 35. NO WAIVER
Failure by InsiderRN to enforce a provision of these Terms on one occasion does not constitute a waiver of that provision or InsiderRN’s right to enforce it in the future.
SECTION 36. ENTIRE AGREEMENT
These Terms, together with the policies and documents expressly incorporated by reference, constitute the entire agreement between the User and InsiderRN concerning the Services governed by these Terms and supersede prior representations or agreements concerning those Services, except for separate written agreements expressly intended to govern particular Services.
SECTION 37. HEADINGS AND INTERPRETATION
Section headings are provided for convenience and do not independently alter the meaning of these Terms.
Terms such as “including” and “includes” are intended to be illustrative and not limiting unless expressly stated otherwise.
SECTION 38. ELECTRONIC AGREEMENT AND RECORDS
Users agree that electronic acceptance of these Terms has the same effect as acceptance of a written agreement to the extent permitted by applicable law.
InsiderRN may maintain electronic records reasonably necessary to document:
- Acceptance of these Terms;
- The version accepted;
- Date and time of acceptance;
- Associated account or transaction information; and
- Other information reasonably necessary to establish the applicable agreement.
